鉴于甲方运营枫缘 Maple Match 严肃婚恋平台并提供红娘一对一服务,乙方自愿购买该服务,双方达成如下协议:
第 1 条 服务档位与内容
1.1 乙方选购以下服务档位(勾选其一):
☐ A 档:牵线包 —— C$580(加元,不含税)
(a) 服务期 3 个月;
(b) 红娘依据乙方资料与择偶问卷,人工筛选并推荐不少于 3 位匹配对象;
(c) 每次推荐前红娘与双方分别沟通,双方均同意后交换联系方式或安排初次见面;
(d) 每次牵线后收集双方反馈一次。
☐ B 档:专属红娘 —— C$1,680(加元,不含税)
(a) 服务期 6 个月,指定一名专属红娘;
(b) 入册深度访谈一次(约 60 分钟),梳理择偶方向并优化资料;
(c) 服务期内人工推荐不少于 8 位匹配对象,推荐节奏与乙方商定;
(d) 协助安排见面(时间协调、场地建议),每次见面后双向反馈与复盘;
(e) 每月至少一次服务进度沟通。
☐ C 档:全程陪伴 —— C$4,800(加元,不含税)
(a) 服务期 12 个月,指定资深红娘;
(b) 含 B 档全部内容,推荐对象数量不设上限(以匹配质量为先);
(c) 形象与资料深度优化建议(照片指导、资料文案);
(d) 约会前辅导与约会后复盘,交往阶段的关系沟通指导;
(e) 服务期内乙方确立稳定交往关系的,红娘继续提供陪伴指导至服务期届满或双方确认服务目标达成(以先到者为准)。
1.2 各档位服务不含:代替乙方作出交往决定、对第三方开展背景调查(如需调查服务另行书面约定)、任何形式的结果承诺。
1.3 推荐对象均来自平台注册用户或甲方合法合作资源,且推荐前已确认对方同意被推荐。
第 2 条 服务期限
2.1 服务期自双方签署本协议且甲方收到首期费用之日起算,期限按第 1.1 条所选档位确定。
2.2 因第 5 条暂停的期间不计入服务期。
第 3 条 费用与里程碑付款
3.1 服务总价以第 1.1 条所选档位为准,另加安大略省适用税费(HST,税号:[待补])。
3.2 付款按以下里程碑分期(内测期通过甲方指定收款方式支付,如 Interac e-Transfer;甲方在收款前出具载明价格、期限与退款政策的确认单):
(a) A 档:签署本协议时一次性支付全款 C$580;
(b) B 档:签署时支付 50%(C$840);完成第 4 位对象推荐时支付余款 50%(C$840);
(c) C 档:签署时支付 40%(C$1,920);完成首次双方同意的见面安排时支付 30%(C$1,440);服务满 6 个月或乙方确立稳定交往关系时(以先到者为准)支付余款 30%(C$1,440)。
3.3 每笔款项到账后甲方在 7 天内开具收据。乙方逾期未付到期里程碑款项超过 15 天的,甲方可暂停服务直至付清。
第 4 条 冷静期与退款细则
4.1 7 天冷静期:自本协议签署之日起 7 天内,乙方可无理由书面通知甲方解除本协议,甲方全额退还已收全部款项,不扣除任何费用。冷静期内甲方原则上不启动实质服务;若乙方书面要求提前启动且已完成首次推荐,冷静期退款时可扣除已实际发生的该次推荐服务的合理对价(不超过总价的 10%)。
4.2 冷静期后的退款:
(a) 因甲方原因未能履行所选档位承诺的推荐数量或服务内容的,乙方可要求按未履行部分比例退款,或协商延长服务期;
(b) 乙方在冷静期后主动解约的,甲方按"已完成里程碑不退、未启动里程碑全退、进行中里程碑按已完成工作比例结算"的原则退款;
(c) 乙方在服务期内确立稳定交往关系并书面确认服务目标达成的,视为服务完成,已付费用不退,未到期的后续里程碑款项不再收取(C 档陪伴指导除外,见第 1.1 条 C 款 (e) 项)。
4.3 法定权利:本条不减损乙方依安省《2002 年消费者保护法》享有的权利,包括:甲方未依法作出成交前披露或未依第 13.2 条交付合同副本时,乙方依法定期限解除合同的权利。
4.4 退款自甲方批准或依法应退之日起 15 天内按原路退回。
第 5 条 服务暂停
5.1 乙方因下列原因可书面申请暂停服务,每次不少于 30 天、累计不超过 180 天:疾病、出行、工作繁忙、正在与推荐对象认真交往等。
5.2 暂停期间甲方停止推荐,服务期相应顺延,不另收费用。恢复服务由乙方书面通知,甲方在 7 天内恢复。
第 6 条 转让
6.1 未经对方书面同意,任何一方不得转让本协议。但下列情形除外:
(a) 甲方因公司重组、合并将本协议转让给承继其业务的关联实体,且服务内容与价格不变的,应提前 30 天书面通知乙方;乙方不同意的,可解除协议并按第 4.2 条 (b) 项获得退款;
(b) 乙方可申请将未消费的服务余额转让给一名符合平台注册条件的直系亲属,经甲方审核同意后办理,转让仅限一次。
第 7 条 双方义务
7.1 甲方义务:
(a) 指派具备相应经验的红娘,按所选档位提供服务;
(b) 推荐前对被推荐对象的平台资料进行形式审核,并确认其同意被推荐;
(c) 对乙方资料与沟通内容严格保密(见第 8 条);
(d) 不得作出任何成功率、结婚保证等承诺;
(e) 乙方投诉的,在 7 天内回应处理。
7.2 乙方义务:
(a) 提供并保持真实、准确的个人资料,包括婚姻状况、子女、职业、身份类别等关键信息;隐瞒或虚构关键信息的,甲方可解除协议且已付费用不退;
(b) 尊重被推荐对象,不得骚扰、欺诈或用于任何商业目的;
(c) 及时反馈见面结果,配合红娘的合理沟通安排;
(d) 不将推荐对象的资料与联系方式泄露给第三方;
(e) 按第 3 条约定付款。
第 8 条 隐私与保密
8.1 甲方按平台《隐私政策》处理乙方个人信息:数据存储于加拿大多伦多服务器,不出境;红娘仅可访问履行本协议所必需的资料,并受书面保密义务约束。
8.2 未经乙方逐次同意,甲方不得向被推荐对象披露乙方的联系方式;推荐时向对方展示的资料范围以乙方在平台设置的可见范围为限。
8.3 本协议终止且乙方注销账号的,乙方个人信息按《隐私政策》约定的期限真实删除;仅保留法律要求的最小交易记录。
8.4 双方对本协议内容及履行中知悉的对方信息负保密义务,本条在协议终止后继续有效。
第 9 条 不担保条款
9.1 红娘服务是过程性、尽力而为的介绍服务。甲方不担保乙方能够配对成功、建立恋爱关系或缔结婚姻,亦不担保任何推荐对象的品行、诚信或资料的真实性。
9.2 甲方的审核为形式审核。乙方与推荐对象线下接触前,应自行核实对方身份与关键信息,并注意人身与财产安全。请警惕以恋爱名义索要钱财、推荐投资的行为;甲方工作人员与红娘绝不会要求乙方向个人账户转账。
9.3 乙方与推荐对象之间的交往行为及其后果,由双方自行负责;甲方在法律允许范围内不承担由此产生的责任,但依法应承担的除外。
第 10 条 协议终止
10.1 有下列情形之一的,本协议终止:(a) 服务期届满;(b) 双方书面协商一致;(c) 乙方依第 4 条解除;(d) 一方严重违约,守约方书面催告后 15 天内仍未纠正。
10.2 甲方依第 10.1 条 (d) 项解除的(如乙方隐瞒婚姻状况、骚扰推荐对象),已付费用不退;乙方依该项解除的,按第 4.2 条 (a)、(b) 项退款,甲方另承担法律规定的责任。
第 11 条 责任限制
11.1 在适用法律允许的最大范围内,任何一方对间接损失、预期利益损失不承担责任;甲方对乙方的累计赔偿责任以乙方依本协议实际支付的费用总额为限。
11.2 本条不适用于:依法不得限制的责任、一方故意或重大过失造成的损害,以及乙方依消费者保护法律享有的法定救济。
第 12 条 适用法律与争议解决
12.1 本协议受加拿大安大略省法律及适用的联邦法律管辖。
12.2 争议应先友好协商;协商不成的,任一方可向安大略省有管辖权的法院提起诉讼;符合小额索赔法院受理条件的,可向安省小额索赔法院起诉。本条不排除乙方向安省消费者保护主管部门投诉的权利。
第 13 条 通知与合同副本
13.1 双方通知以书面形式(电子邮件视为书面)送达本协议载明的联系方式。
13.2 甲方在本协议成立后 15 天内向乙方交付本协议副本(电子形式,含全部费用与退款条款),以符合安省《2002 年消费者保护法》对网络/远程协议的要求。
第 14 条 其他
14.1 本协议连同平台《用户协议》《隐私政策》构成双方就红娘服务的完整约定;不一致的,就红娘服务事项以本协议为准。
14.2 本协议一式两份,双方各执一份,自双方签署之日起生效。中英文版本不一致的,临时草案期间以中文为准。

Part II: English Version
This Agreement is made between:
Party A (Service Provider): [Operating company name, to be incorporated] (Ontario, Canada; address: [TBD]; "Party A" or the "Platform")
Party B (Client): Name: ____________ Platform ID: ____________ Phone: ____________ Email: ____________ ("Party B" or the "Client")
Whereas Party A operates the Maple Match serious matchmaking platform and offers one-on-one matchmaker services, and Party B wishes to purchase such services, the parties agree as follows:
Article 1 — Service Tiers and Scope
1.1 Party B selects one of the following tiers (check one):
☐ Tier A: Introduction Package — C$580 (CAD, plus tax)
(a) 3-month service term;
(b) the matchmaker screens and recommends no fewer than 3 compatible candidates based on Party B's profile and questionnaire;
(c) before each introduction the matchmaker speaks with both parties; contact details are exchanged or a first meeting arranged only if both agree;
(d) feedback is collected from both parties after each introduction.
☐ Tier B: Dedicated Matchmaker — C$1,680 (CAD, plus tax)
(a) 6-month term with a designated dedicated matchmaker;
(b) one in-depth intake interview (approx. 60 minutes) to define search direction and optimize the profile;
(c) no fewer than 8 candidate recommendations during the term, at a pace agreed with Party B;
(d) assistance arranging meetings (scheduling, venue suggestions), with two-way feedback and debrief after each meeting;
(e) at least one progress review per month.
☐ Tier C: Full Journey — C$4,800 (CAD, plus tax)
(a) 12-month term with a designated senior matchmaker;
(b) everything in Tier B, with no cap on the number of recommendations (quality first);
(c) in-depth image and profile optimization (photo guidance, profile copy);
(d) pre-date coaching and post-date debriefs, plus relationship-communication guidance during courtship;
(e) if Party B enters a stable relationship during the term, the matchmaker continues support until the term ends or the parties confirm the service goal is achieved, whichever comes first.
1.2 No tier includes: making relationship decisions on Party B's behalf, background investigations of third parties (available only under a separate written agreement), or any promise of results.
1.3 Candidates come from registered platform users or Party A's lawful partner sources, and each candidate's consent to be introduced is confirmed before the introduction.
Article 2 — Term
2.1 The term begins on the date this Agreement is signed by both parties and Party A receives the first payment, and runs for the period of the selected tier.
2.2 Periods of suspension under Article 5 do not count toward the term.
Article 3 — Fees and Milestone Payments
3.1 The total price is that of the selected tier in 1.1, plus applicable Ontario taxes (HST number: [TBD]).
3.2 Payment is made in milestone instalments (during beta, via Party A's designated method such as Interac e-Transfer; before collecting payment Party A issues a confirmation stating price, term, and refund policy):
(a) Tier A: full payment of C$580 upon signing;
(b) Tier B: 50% (C$840) upon signing; remaining 50% (C$840) upon completion of the 4th candidate recommendation;
(c) Tier C: 40% (C$1,920) upon signing; 30% (C$1,440) upon completion of the first mutually agreed meeting arrangement; remaining 30% (C$1,440) at the 6-month mark or when Party B enters a stable relationship, whichever comes first.
3.3 Party A issues a receipt within 7 days of each payment. If a due milestone payment is more than 15 days late, Party A may suspend service until it is paid.
Article 4 — Cooling-Off Period and Refunds
4.1 7-day cooling-off: within 7 days of signing, Party B may terminate this Agreement by written notice without reason, and Party A will refund all amounts received in full with no deductions. Party A does not normally begin substantive service during the cooling-off period; if Party B requests an early start in writing and a first recommendation has been completed, Party A may deduct the reasonable value of that one completed recommendation (not exceeding 10% of the total price) from the cooling-off refund.
4.2 Refunds after the cooling-off period:
(a) if Party A fails to deliver the promised number of recommendations or service content for reasons attributable to Party A, Party B may claim a pro-rata refund for the unperformed portion or negotiate an extension;
(b) if Party B terminates after the cooling-off period without cause, refunds follow this principle: completed milestones are non-refundable; milestones not yet started are refunded in full; milestones in progress are settled pro rata to work completed;
(c) if Party B enters a stable relationship during the term and confirms in writing that the service goal is achieved, the service is deemed complete: fees paid are non-refundable and future unbilled milestones are waived (except Tier C continued support under 1.1(C)(e)).
4.3 Statutory rights: this Article does not reduce Party B's rights under Ontario's Consumer Protection Act, 2002, including the right to cancel within statutory periods if Party A fails to make required pre-agreement disclosures or fails to deliver a copy of the agreement under 13.2.
4.4 Refunds are returned via the original payment route within 15 days of approval or of the date a refund becomes legally due.
Article 5 — Suspension of Service
5.1 Party B may request suspension in writing for reasons such as illness, travel, work commitments, or an ongoing serious courtship with a recommended candidate — each suspension at least 30 days, and no more than 180 days in aggregate.
5.2 During suspension Party A pauses recommendations, the term is extended accordingly, and no additional fee applies. Service resumes within 7 days of Party B's written notice.
Article 6 — Assignment
6.1 Neither party may assign this Agreement without the other's written consent, except:
(a) Party A may assign it to an affiliated entity succeeding to its business in a reorganization or merger, provided service content and price are unchanged and 30 days' written notice is given; if Party B objects, Party B may terminate and receive a refund under 4.2(b);
(b) Party B may apply, once only, to transfer the unused service balance to an immediate family member who meets the platform's registration requirements, subject to Party A's review and approval.
Article 7 — Obligations of the Parties
7.1 Party A shall:
(a) assign a suitably experienced matchmaker and deliver the selected tier's services;
(b) conduct a procedural review of each candidate's platform profile and confirm the candidate's consent before any introduction;
(c) keep Party B's profile and communications strictly confidential (Article 8);
(d) make no promises of success rates or marriage;
(e) respond to Party B's complaints within 7 days.
7.2 Party B shall:
(a) provide and maintain true and accurate personal information, including marital status, children, occupation, and residency category; concealment or fabrication of key information entitles Party A to terminate without refund;
(b) treat recommended candidates with respect and not harass, defraud, or use them for any commercial purpose;
(c) give timely feedback after meetings and cooperate with reasonable communication arrangements;
(d) not disclose candidates' information or contact details to third parties;
(e) pay in accordance with Article 3.
Article 8 — Privacy and Confidentiality
8.1 Party A processes Party B's personal information under the platform Privacy Policy: data is stored on servers in Toronto, Canada and does not leave Canada; matchmakers may access only what is necessary to perform this Agreement and are bound by written confidentiality obligations.
8.2 Party A will not disclose Party B's contact details to any candidate without Party B's consent on each occasion; profile information shown to candidates is limited to the visibility scope Party B has set on the platform.
8.3 Upon termination of this Agreement and closure of Party B's account, Party B's personal information is truly deleted within the periods stated in the Privacy Policy; only minimal transaction records required by law are retained.
8.4 Each party shall keep confidential this Agreement and the other party's information learned in its performance. This Article survives termination.
Article 9 — No Guarantee
9.1 Matchmaking is a best-efforts, process-based introduction service. Party A does not guarantee a successful match, a relationship, or marriage, nor the character, honesty, or accuracy of information of any recommended candidate.
9.2 Party A's review is procedural only. Before meeting any candidate offline, Party B should independently verify the candidate's identity and key claims and take care of personal and financial safety. Beware of anyone who asks for money or promotes investments in the name of romance; Party A's staff and matchmakers will never ask Party B to transfer money to a personal account.
9.3 Interactions between Party B and candidates, and their consequences, are the parties' own responsibility; to the extent permitted by law, Party A bears no liability arising therefrom, except as required by law.
Article 10 — Termination
10.1 This Agreement terminates: (a) upon expiry of the term; (b) by written mutual agreement; (c) upon Party B's cancellation under Article 4; (d) upon a party's material breach that remains uncured 15 days after the non-breaching party's written demand.
10.2 If Party A terminates under 10.1(d) (e.g., Party B concealed marital status or harassed candidates), fees paid are non-refundable; if Party B terminates under that clause, refunds follow 4.2(a) and (b), and Party A bears any further liability required by law.
Article 11 — Limitation of Liability
11.1 To the maximum extent permitted by applicable law, neither party is liable for indirect losses or loss of expected benefit; Party A's aggregate liability to Party B is capped at the total fees actually paid by Party B under this Agreement.
11.2 This Article does not apply to liability that cannot lawfully be limited, damage caused by intentional misconduct or gross negligence, or Party B's statutory remedies under consumer protection law.
Article 12 — Governing Law and Dispute Resolution
12.1 This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
12.2 Disputes shall first be negotiated amicably; failing that, either party may bring proceedings in a court of competent jurisdiction in Ontario, including the Ontario Small Claims Court where its conditions are met. This does not exclude Party B's right to complain to Ontario's consumer protection authority.
Article 13 — Notices and Copy of the Agreement
13.1 Notices must be in writing (email counts as writing) and sent to the contact details stated in this Agreement.
13.2 Party A shall deliver a copy of this Agreement (electronically, including all fee and refund terms) to Party B within 15 days after it is entered into, in accordance with Ontario's Consumer Protection Act, 2002 requirements for internet/remote agreements.
Article 14 — Miscellaneous
14.1 This Agreement, together with the platform Terms of Service and Privacy Policy, is the entire agreement on matchmaker services; in case of conflict regarding matchmaker services, this Agreement prevails.
14.2 Executed in two counterparts, one for each party, effective on the date both parties sign. In case of inconsistency between the Chinese and English versions, the Chinese version prevails during the interim-draft period.
